Represented a leading aerospace systems supplier in connection with their divestiture of a subsidiary business.  The representation involved structuring the transaction as a stock sale pursuant to which the parties elected under Section 338(h)(10) of the Internal Revenue Code.  The transaction involved debt/equity issues, consolidated return issues, bad debt considerations and a worthless stock analysis.  The structuring provided over $50 million of tax benefits for the client.
